Terms and Conditions

These Terms and Conditions (these “Terms”) are offered to you by Juris PNC LLC (Juris PNC) and govern our products and services (“Services”). These Terms and all other policies or procedures related to the use of the Services constitute a binding, legal agreement between you and Juris PNC.

Juris PNC Service. Deliver exclusive prospect’s contact and intake information in the form of an email from practice areas and geographies agreed upon. 

Term. This agreement (the “Agreement”) is dated as of the latest date on which this Agreement is signed (the “Effective Date”) between Juris PNC and participating lawyer or law firm (“Client”). This Agreement commences on the Effective Date and continues until either party terminates upon five (5) business days’ prior written notice to the other party.

Payment. Client's signature below indicates Client's knowledge and acceptance that the Credit Card provided below is to be stored and charged to process all of Client's monthly invoices for services provided by Juris PNC on an ongoing basis. Client authorizes Juris PNC to charge the indicated credit card 1) an agreed upon one-time non-refundable setup fee 2) and monthly for fees associated with the Services provided. Client acknowledges this authorization will remain in effect until revoked in writing by Client to Juris PNC. Transaction amount will be billed monthly. If the credit card provided expires we will attempt to obtain another valid form of payment from you, but we will continue to bill for Services provided and you will remain responsible for any fees uncollected. Failure to remit payment in full by the payment due date may result in immediate termination of this Agreement.

Credit Requests. If the email contact is out of your subscribed area of practice or geography, or falls within one of our valid reasons for credit, a credit request must be made within 7 days. Credit requests can be made within Juris PNC’s lead management system and will be provided to you upon account setup.

Valid Reasons for Credit:

  • Lead is outside the firm’s subscribed geographic area

  • Lead is outside the firm’s subscribed area of practice

  • Disconnected phone number

  • Spam lead

  • Lead is a duplicate

  • Lead denies submitting an inquiry to be contacted

  • Lead asks for a “pro bono” attorney

Valid Reasons for Credit (Practice Area Specific):

Criminal Defense:

  • Lead isn’t facing any criminal charges

DUI/DWI:

  • Lead has no pending DUI/DWI charges

Workers’ Compensation:

  • Lead is an independent contractor

No Referrals or Guarantees. Juris PNC Service is not a lawyer referral service (except as provided in Subchapter 4-7 of the Rules Regulation of the Florida State Bar). The Service is a form of advertising and does not guarantee you will receive new business.

License to Practice Law. You represent that you are an attorney or a law firm whose attorneys are validly licensed to practice law as required by the applicable jurisdictions in which you or they practice. You are solely responsible for compliance with all laws, rules, and regulations governing attorney advertising, ethical obligations, licensure, and the practice of law, promulgated by any applicable jurisdiction, court, bar association, and any other governing body which are applicable to you, your attorneys or other representatives and your use of the Services. You will notify Juris PNC immediately if there is a change in your or any of your lawyers’ licensure status.

Disclaimers. The Services are provided as is without any warranty of any kind, express or implied including any warranties concerning the accuracy, reliability, quality, performance, or suitability of the service, any warranties concerning compliance with applicable federal or state laws, and any warranties of merchantability or fitness for a particular purpose. You assume all risk for any violations of the advertising and ethics rules and agree that your use of the Services is entirely at your own risk. We disclaim any liability with respect to any separate agreements you may make with clients.

Limitation of Liability: In no event will Juris PNC be liable for any loss of profits or indirect, special, incidental, punitive, exemplary or consequential damages of any kind in connection with or arising out of the use of the Services or support provided under this agreement as applicable, whether arising in contract or tort, strict liability or any other legal theory, including negligence, even if Juris PNC has been advised of the possibility of such damages. In the event that Juris PNC is liable to you, Juris PNC’S total liability shall not exceed the aggregate fees paid by you for the Services during the six (6)-months immediately preceding the date of the claim or cause of action. In addition, Juris PNC shall not be liable for any loss, injury, claim, liability or damage of any kind resulting from your non-compliance with all local and state ethics rules or other rules applicable to the practice of law or from your violation of such rules.

Indemnification. You will defend, indemnify and hold us harmless for all claims, demands, torts, causes of actions, attorneys’ fees, liabilities, damages, losses, and expenses arising out of or in connection with your use of the Services, your breach of this Agreement, your contravention of any applicable law including, but not limited to, Privacy Laws and Regulations and the Advertising and Ethics Rules, and your infringement of any intellectual property rights.

Confidentiality. The Agreement constitutes our “Confidential Information” and you agree to not disclose it to any third party.

Miscellaneous. This Agreement supersedes any previous and contemporaneous written, electronic, or oral communication you may have had with us and constitutes the complete and total agreement between the parties. The failure by either party to enforce any right or provision of this Agreement will not constitute a waiver of that provision or of any other provision of this Agreement. If any provision of this Agreement is determined to be invalid or unenforceable by a court, such provision will be deemed severable and the remainder of this Agreement will remain in full force and effect. Juris PNC will not be liable for any damage, delay, or failure to perform resulting directly or indirectly from a force majeure event. Both parties agree that this Agreement, as well as any and all claims arising from this Agreement will be governed by and construed in accordance with the laws of the State of California, without reference to its conflicts of law rules and the exclusive venue for any applicable state or federal court, or arbitration tribunal, shall lie within Santa Clara County, California. The parties are independent contractors and this Agreement does not create an agency, partnership, or joint venture.
